These Terms and Conditions govern your access to and use of DraftPDF, including our website, account features, and browser-based PDF editor. By using DraftPDF, you agree to these Terms.
If you are using DraftPDF on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
1. Eligibility and Accounts
- You must provide accurate account information and keep it current.
- You are responsible for maintaining the confidentiality of your account credentials and for activity that occurs under your account.
- You must promptly notify us of suspected unauthorized use of your account.
- We may suspend or terminate accounts that violate these Terms, create risk for DraftPDF or others, or are required to be restricted by law.
2. Nature of the Service
DraftPDF is a browser-based PDF editor. The product is designed so that user PDF files remain local to the user’s device during ordinary editing workflows.
DraftPDF is not a cloud document repository for the PDFs you edit in the browser. You are responsible for retaining your own copies, backups, exports, and downstream sharing decisions.
3. Subscription, Billing, and Third-Party Services
Some features may require a paid plan or active subscription. Account, authentication, and billing-related functions are provided in part through Clerk or its partners.
You authorize the applicable billing provider to charge the payment method associated with your account for subscriptions, renewals, taxes, and related fees according to the pricing and billing terms presented at checkout.
DraftPDF does not store full payment card details on its own infrastructure. Billing, location-related, and fraud-prevention data used for subscription processing may be handled by Clerk and subject to Clerk’s terms and privacy policy.
4. Acceptable Use
- Do not use DraftPDF in violation of law, regulation, court order, contract, or third-party rights.
- Do not attempt to interfere with, disrupt, reverse engineer, or gain unauthorized access to DraftPDF, its infrastructure, or other users’ accounts.
- Do not use the service to distribute malware, spam, phishing content, or harmful code.
- Do not use DraftPDF to process or distribute content you do not have the right to use, edit, or share.
- Do not misuse any local-only features in a way that circumvents security, licensing, or access controls on third-party materials.
5. Your Content and Responsibility
You retain responsibility for the documents, data, and content you choose to open, edit, create, export, or share using DraftPDF.
You represent that you have all rights and permissions necessary to use your content with the service and that your use will not infringe, misappropriate, or otherwise violate any law or third-party right.
6. Intellectual Property
DraftPDF and its related software, branding, design, and content are owned by us or our licensors and are protected by intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use DraftPDF for its intended purposes.
Open-source components are provided under their respective licenses, which are acknowledged in our Open Source Notices page.
7. Feedback
If you provide suggestions, comments, or other feedback about DraftPDF, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation.
8. Availability and Changes
We may change, suspend, or discontinue all or part of DraftPDF at any time, with or without notice. We are not liable for any modification, interruption, or discontinuation of the service.
9. Disclaimers
DraftPDF is provided on an "as is" and "as available" basis to the maximum extent permitted by law. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and uninterrupted operation.
We do not warrant that DraftPDF will be error-free, secure, compatible with every workflow, or suitable for archival, regulatory, legal, or mission-critical use cases.
10. Limitation of Liability
To the maximum extent permitted by law, DraftPDF and its affiliates, officers, employees, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities arising out of or related to your use of DraftPDF.
To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to DraftPDF will not exceed the greater of the amount you paid us for the service during the twelve months before the event giving rise to the claim, or one hundred U.S. dollars (US $100).
11. Indemnification
You agree to defend, indemnify, and hold harmless DraftPDF and its affiliates, officers, employees, licensors, and service providers from and against claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your content, your misuse of DraftPDF, or your violation of these Terms or applicable law.
12. Termination
You may stop using DraftPDF at any time. We may suspend or terminate your access at any time if we reasonably believe you have violated these Terms, created legal exposure, or presented a security or abuse risk.
Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnification, dispute terms, and any accrued payment obligations.
13. Governing Law and Disputes
These Terms are governed by the laws of the jurisdiction identified in your company disclosures or order forms, without regard to conflict-of-law rules. If you have a preferred governing law and venue, update this section before launch.
Unless applicable law requires otherwise, disputes will be resolved exclusively in the courts located in the agreed governing venue, and each party consents to personal jurisdiction there.
14. Changes to These Terms
We may update these Terms from time to time. When we do, we will post the revised version and update the effective date above. Continued use of DraftPDF after the updated Terms become effective means you accept the revised Terms.
